Terms of Service & POS Software Disclaimer

1. SaaS Subscription & Cloud License Grant
Subject to compliance with these Terms and payment of applicable fees (or valid participation in our Sponsored Program), Maginut Inc. grants Merchant a non-exclusive, non-transferable, revocable license to access and use inocean POS for internal commercial restaurant and retail operations.
2. Hardware, Local Network & Offline Mode Disclaimer
inocean POS operates across supported browsers, tablets, and POS terminals. While inocean POS includes local network resilience and offline ordering caching, Merchant acknowledges that real-time credit card authorization, cloud synchronization, and remote order injection require active internet connectivity. Maginut Inc. is not liable for data loss or operational interruptions caused by local hardware malfunctions, ISP failures, or power outages.
3. Payment Gateway & Third-Party Processing Disclaimer
inocean POS integrates with third-party payment processors (including Stripe, Moneris, Square, and other merchant acquirers). Maginut Inc. is a software provider and does not act as a bank, payment processor, or money transmitter. All card transactions, chargebacks, settlements, and processing fees are governed exclusively by your agreement with your chosen payment gateway.
4. Service Availability & Maintenance SLA
We strive to maintain a 99.9% uptime for cloud services. Scheduled maintenance, emergency security patches, or upstream cloud provider disruptions may occasionally cause brief downtime. We disclaim liability for any indirect revenue or tip losses during maintenance windows.
5. Limitation of Liability & 'As Is' Disclaimer
TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE NORTH AMERICAN LAW (INCLUDING THE LAWS OF CANADA AND THE UNITED STATES), INOCEAN POS IS PROVIDED 'AS IS' AND 'AS AVAILABLE' WITHOUT WARRANTIES OF ANY KIND. IN NO EVENT SHALL MAGINUT INC., ITS DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS REPUTATION, EXCEEDING THE TOTAL AMOUNT PAID BY MERCHANT TO MAGINUT INC. IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
6. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms shall be resolved through confidential binding arbitration in Vancouver, BC, or in a competent court of jurisdiction.
